These Terms of Service (the “Terms”) govern use of the PureTide Lab website (the “Site”), the private catalog, the label studio, and any related services (collectively, the “Services”). By using the Services, the user agrees to these Terms.
1. Eligibility
The Services are offered only to qualified researchers and research organizations, represented by individuals aged 21 or older. By creating an account, completing the research-use attestation, or placing an order, the user represents and warrants that they meet these eligibility criteria and that all information provided is accurate.
2. Research-use attestation
All products are sold strictly for laboratory research use by qualified investigators. Before wholesale pricing is displayed, each account must affirm that (a) the purchaser is a qualified researcher or research organization; (b) products will be used exclusively for in vitro or pre-clinical research; (c) products will not be administered to humans or animals; and (d) products will be stored and handled in accordance with applicable safety and regulatory standards. Each order requires re-certification. The timestamp, IP address, and terms version of every attestation and order are logged.
3. Custom labels
The label studio produces vial labels combining purchaser-supplied brand elements with fixed compliance elements (compound identity, net weight, lot code, and the research-use-only statement). The purchaser represents that they own or are licensed to use all uploaded brand assets, and grants PureTide Lab a limited license to print those assets on ordered labels. PureTide Lab may decline to produce any label that misrepresents the product, implies approval for human use, or infringes third-party rights. Approved label artwork is printed exactly as rendered at order time.
4. Orders, pricing, and invoicing
Submitting an order through the Site is an offer to purchase, subject to acceptance by PureTide Lab. Prices are listed in US dollars and are subject to change until an order is confirmed. Volume discounts apply automatically based on total units per order at the tiers displayed in the cart. Confirmed orders are invoiced directly; payment terms are stated on the invoice. PureTide Lab reserves the right to refuse or cancel any order, including orders that appear fraudulent or that violate these Terms.
5. Returns and damaged shipments
Due to the research nature of the products and the custom nature of white-label production, sales are final once production begins. In the event of a visibly damaged shipment or a material QC discrepancy documented on the COA, contact support within 72 hours of delivery and we will arrange a replacement or credit at our discretion.
6. Intellectual property
The PureTide Lab name, logos, site design, label templates, and written content are the intellectual property of PureTide Lab. Purchaser trademarks and logos remain the property of the purchaser.
7. Prepaid account credit
Account credit may be recorded after funds are received through an external payment channel. Credit is not cash, does not earn interest, and may be used only against accepted orders. Each ledger entry is retained for audit. Credit applied to an order is returned to the same account balance if that order is cancelled before fulfillment, subject to review for completed or disputed work.
8. Limitation of liability
To the maximum extent permitted by law, PureTide Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or misuse of any product sold through the Services, including products resold under purchaser brands. The purchaser assumes full responsibility for the safe handling, storage, lawful use, and lawful resale of all products received.
9. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts of Delaware.
10. Changes to the Terms
PureTide Lab may update these Terms from time to time. When the terms version changes, active accounts are required to re-attest before placing further orders. Continued use of the Services after an update constitutes acceptance of the revised Terms.
